Anthropic, PBC announced on June 1 that it has confidentially submitted a draft registration statement on Form S-1 to the U.S. Securities and Exchange Commission for a proposed initial public offering of its common stock. The announcement, published under Rule 135 of the Securities Act of 1933, notes that the number of shares and the offering price have not yet been set, and that proceeding to a public offering will depend on market conditions and other factors. The filing gives Anthropic the option to go public once the SEC completes its review. The company raised $65 billion in its Series H round at a $965 billion post-money valuation, making it the first AI startup to surpass OpenAI in private valuation.
